Terms and Conditions
Introduction
These terms and conditions govern the provision of property photography services provided by Harper & Reid, located in Northamptonshire, England.
Services
Harper & Reid offers property photography services including interior and exterior photography, drone photography, virtual tours, and floor plan creation.
Booking Process
Bookings for photography sessions can be made directly with Harper & Reid. Clients will receive confirmation of the scheduled appointment.
Payment Terms
- Payment Upon Order: Payment is required in advance at the time of order.
- Invoicing Terms for Approved
- Customers: For customers approved for invoicing terms, invoices are raised on the 2nd of every month, with payment due 30 days from the invoice date.
- No VAT: Charges are not subject to VAT.
- Late Payments: Harper & Reid reserves the right to claim interest at 8% over the Bank of England base rate on late payments, as well as compensation for debt recovery costs under the Late Payment legislation.
Pricing
Harper & Reid reserves the right to adjust pricing no more than once annually, with a minimum of 30 days' notice provided to clients before any changes take effect.
Data Protection
- Harper & Reid complies with the UK Data Protection Act 2018. Third-party data operators, including Spiro LLC, may process data, and data may be stored on European and American servers.
- Harper & Reid takes reasonable actions to prevent the identification of persons and addresses in images through obfuscation techniques and the removal of full addresses from media titles. However, full addresses will be shared with contractors, such as photographers, as necessary to perform the agreed services (e.g., to arrive at the property for the photo shoot).
Confidentiality and Marketing Use
- Harper & Reid will treat all client business details and project information confidentially. However, final edited media may be used in marketing and sales materials, including but not limited to social media posts, website media, presentations, and printed media such as business cards and leaflets, to assist in revenue growth.
Non-Solicitation
Clients agree not to solicit or employ any Harper & Reid contractors, employees, or photographers for a period of six months after the termination or completion of services.
Termination and Notice
- Harper & Reid reserves the right to terminate the relationship established under these terms and conditions due to non-payment or a material breach of terms.
- One month's written notice is required for either party to terminate the relationship unless otherwise agreed upon.
Use of Images
Harper & Reid grants clients a license to use the images for property marketing purposes. This license is non-exclusive, non-transferable, and limited to a duration of 50 years. Images may not be altered or used for purposes other than those agreed upon without written consent from Harper & Reid.
Intellectual Property
All intellectual property rights in the images remain the property of Harper & Reid. Harper & Reid reserves the right to use any images for its own promotional purposes unless otherwise agreed upon in writing.
Updates to Terms and Conditions
Harper & Reid reserves the right to amend these terms and conditions, providing clients with at least 30 days' notice of any significant changes.
Third-Party Rights
No third party shall have the right to enforce any term of this agreement under the Contracts (Rights of Third Parties) Act 1999.
Liability
Harper & Reid is not liable for any indirect, consequential, or special damages arising out of or in connection with the services provided. Liability for any direct damages shall not exceed the total amount paid for the services.
Client Responsibilities
Clients are responsible for ensuring the property is prepared and accessible for photography at the scheduled time. Clients must disclose any specific requirements or restrictions related to the property in advance.
Homeowner Reviews
Homeowners may be contacted after services have been delivered to leave a review on Google about the services provided.
Compliance
Harper & Reid complies with all applicable laws and regulations, including the UK Data Protection Act 2018.
Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of England.
